ADVISORY BOARD

The organization may designate an Advisory Board. The Advisory Board will consist of persons who are interested in the purposes and principles of the organization. The Advisory Board and each member there of will assist of the Board of Directors. Any vacancy in the Advisory Board can be filled and any member of the Advisory Board may be removed, either with cause, by the Board of Directors. The Advisory Board will advise the Board of Directors as to any matters that are put before it by the Board of Directors concerning the Corporation. The Advisory Board will not have or purport to exercise any powers of the Board of Directors nor will it have the power to bind the Corporation contractually or to authorize the seal of the organization to be affixed to any papers that may require it.

Yet the Advisory Board ideas and work for the organization is value and noted to help make the mission of the organization go forward. Members of Advisory Board are first to be recognized when seat of Board of Directors is vacant.

Board of Directors may employ such staff personnel according to available administrative funds and needs of the organization.

Responsibilities:

1. Be informed about the organization's mission,services, policies, and programs. 2. Review agenda and supporting materials prior to board and committee meetings. 3, Serve on committees or task forces and offer to take on special assignments. 4. Can make a personal financial contribution to the organization. 5. Inform others about the organization. 6. Suggest possible nominees to the board who can make significant contributions to the

work of the board and the organization. 7. Keep up-to-date on developments in the organization's field. 8. Follow conflict-of-interest and confidentiality policies. 9. Refrain from making special requests of the staff. 10. Assist the board in carrying out its fiduciary responsibilities, such as reviewing the organization's annual financial statements.
